1. Acceptance of Terms

These Terms of Use (“Terms”) constitute a legally binding agreement between you and NUMARIX Services LLC (“NUMARIX,” “we,” “us,” or “our”) governing your access to and use of the website located at numarix.com, its subdomains, and any related digital services (collectively, the “Site”). By accessing or using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy and Cookies Policy, each of which is incorporated by reference. If you do not agree with any part of these Terms, you must not access or use the Site.

2. About NUMARIX

NUMARIX is a national commercial real estate advisory and hospitality brokerage firm. Through the Site, we publish property listings, marketing materials, market studies, information about closed transactions, professional biographies, and general information concerning our advisory, brokerage, capital advisory, asset management, and franchising services. All brokerage activities are conducted through NUMARIX Services LLC or its licensed affiliates in accordance with the licensing laws of the states in which such activities occur.

3. Not an Offer

Nothing on the Site constitutes an offer to sell, or a solicitation of an offer to buy, any security, property interest, franchise, or business opportunity in any jurisdiction. Property listings, equity offerings, financing materials, and marketing packages are provided for informational and preliminary evaluation purposes only. Any transaction requires the execution of separately negotiated definitive documents, satisfaction of applicable due-diligence conditions, and, where required, receipt of the applicable disclosure documents.

4. No Professional Advice

The information available on the Site is provided for general informational purposes only. It does not constitute, and should not be relied upon as, legal, tax, investment, brokerage, engineering, environmental, appraisal, or accounting advice. You should consult independent, qualified professionals before making any decision based on information obtained from the Site. Prior transaction results are not indicative of future performance, and every real estate investment involves risk of loss.

5. Property Information and Independent Investigation

Property descriptions, rent rolls, income statements, occupancy figures, historical performance, brand affiliations, location details, photographs, floor plans, and market information published on the Site are compiled from sources believed to be reliable, including sellers, franchisors, third-party data providers, county records, and public filings. NUMARIX does not independently verify all such information and makes no representation or warranty as to its accuracy, completeness, or current status. Prospective purchasers, tenants, franchisees, or investors are expected to conduct their own independent investigation and due diligence with the assistance of qualified advisors before entering into any transaction.

6. Confidentiality

Certain property information — including financial statements, seller disclosures, purchase and sale agreements, and offering memoranda — is confidential and may be released only after a duly executed Confidentiality and Non-Disclosure Agreement is delivered to NUMARIX. Access to such materials is conditioned on your agreement not to disclose, publish, disseminate, or use the information for any purpose other than evaluating the specific opportunity. Unauthorized disclosure may result in immediate revocation of access and legal action for damages, injunctive relief, and recovery of attorneys’ fees.

7. Investor Registration and Accredited Status

Certain areas of the Site are restricted to registered users, and certain investment-related materials may be made available only to persons who qualify as “accredited investors” as that term is defined under Rule 501 of Regulation D promulgated under the Securities Act of 1933. By registering, you represent that any information you provide is accurate, that you meet the eligibility criteria you certify to, and that you will notify NUMARIX promptly if that information becomes inaccurate. NUMARIX reserves the right to require verification of any such representation, to deny or revoke access at its sole discretion, and to preserve the confidentiality of any offering materials in accordance with applicable securities laws.

8. Broker Representation and Cooperation

Where NUMARIX acts as a broker or agent, its role — whether as agent of the seller, buyer, landlord, tenant, franchisor, or in a dual capacity where permitted by applicable state law — is disclosed in the transaction documents, not on the Site. Cooperating brokers are welcome to inquire about listings shown on the Site; commission arrangements are governed by separately executed cooperation agreements and applicable state law.

9. Equal Opportunity and Fair Housing

NUMARIX supports the letter and spirit of the U.S. federal Fair Housing Act and comparable state and local laws. We do not discriminate on the basis of race, color, religion, sex (including sexual orientation and gender identity), national origin, familial status, disability, source of income, or any other class protected by applicable law.

10. User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized access. We may suspend or terminate accounts that are inactive, misused, or that appear to have been created with false information.

By submitting a message, listing inquiry, application, or any other content through the Site, you (a) represent that you have the right to submit the content and that the content is accurate; (b) grant NUMARIX a non-exclusive, worldwide, royalty-free license to use the content solely for the purpose of responding to your inquiry, conducting the requested service, or complying with law; and (c) acknowledge that NUMARIX may retain records of your submission in accordance with the retention practices described in the Privacy Policy.

13. Intellectual Property

The Site and all of its contents — including the NUMARIX name, logo, tricolor mark, wordmark, service names, page layouts, code, photography, brand imagery, marketing copy, market studies, and analysis — are the property of NUMARIX or its licensors and are protected by U.S. and international copyright, trademark, trade dress, and other intellectual property laws. Except as expressly permitted by these Terms, no material from the Site may be copied, reproduced, republished, uploaded, posted, transmitted, or distributed in any way without NUMARIX’s prior written consent. Nothing on the Site should be construed as granting any license or right to use any trademark without such consent.

14. Third-Party Marks

Third-party trademarks displayed on the Site — including hotel brand flags such as Marriott, Hilton, IHG, Wyndham, and Choice Hotels, and platform marks such as CoStar and Crexi — belong to their respective owners and are used solely to identify the brand affiliation or platform involved. Their use does not imply any endorsement of NUMARIX by, or affiliation with, those owners beyond what is disclosed in the specific listing or transaction materials.

The Site may include links to third-party websites or services that are not under NUMARIX’s control. NUMARIX is not responsible for the content, privacy practices, or availability of any linked site. Inclusion of a link does not imply endorsement.

16. Disclaimers

THE SITE AND ALL CONTENT, LISTINGS, AND MATERIALS ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, OR THAT THE SITE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE. NUMARIX MAKES NO WARRANTY WITH RESPECT TO THE ACCURACY OR COMPLETENESS OF ANY PROPERTY DESCRIPTION, FINANCIAL DATA, MARKET FIGURE, OR TRANSACTION HISTORY.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NUMARIX AND ITS OFFICERS, DIRECTORS, EMPLOYEES, MEMBERS, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES — INCLUDING, WITHOUT LIMITATION, LOST PROFITS, LOST DATA, OR LOST GOODWILL — ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SITE OR ANY CONTENT, EVEN IF NUMARIX HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NUMARIX’S AGGREGATE LIABILITY UNDER OR IN CONNECTION WITH THESE TERMS SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, IN WHICH CASE THE FOREGOING LIMITATIONS MAY NOT APPLY TO YOU IN FULL.

18. Indemnification

You agree to defend, indemnify, and hold harmless NUMARIX and its officers, directors, employees, members, agents, and affiliates from and against any claim, demand, loss, damage, liability, cost, or expense (including reasonable attorneys’ fees) arising out of (a) your access to or use of the Site, (b) your breach of these Terms, (c) your violation of applicable law, or (d) your infringement of the rights of any third party.

19. Termination

We may suspend or terminate your access to the Site at any time, with or without notice, for any reason, including if we believe that you have violated these Terms. Upon termination, provisions of these Terms that by their nature should survive — including intellectual property, confidentiality, disclaimers, limitation of liability, indemnification, and governing law — will remain in effect.

20. Governing Law and Venue

These Terms are governed by the laws of the State of Mississippi, without regard to its conflict-of-laws principles. Any action arising out of or relating to these Terms or the Site shall be brought exclusively in the state or federal courts located in Hinds County, Mississippi, and you consent to the personal jurisdiction of those courts. This provision does not limit any rights afforded to consumers under mandatory local law of the jurisdiction in which they reside where such rights cannot be waived.

21. Dispute Resolution

Except for claims for injunctive or equitable relief arising from a party’s infringement of intellectual property or breach of confidentiality obligations, the parties agree to first attempt to resolve any dispute informally by written notice to legal@numarix.com. If the dispute is not resolved within thirty (30) days, either party may pursue the dispute in the courts specified in Section 20.

22. Changes to These Terms

NUMARIX may revise these Terms from time to time by posting an updated version on the Site. Material changes will be communicated by updating the Effective Date at the top of this page. Your continued use of the Site following the effective date of any revision constitutes acceptance of the revised Terms.

23. Entire Agreement; Severability

These Terms, together with the documents referenced herein, constitute the entire agreement between you and NUMARIX regarding your use of the Site. If any provision is found unenforceable, the remaining provisions will remain in full force and effect.
